Terms of Service

These Terms of Service (“Terms”) are a binding agreement between you (“you”, the “Customer”) and Brandy IM Inc. (“we”, “us”, “our”), the company that operates the Naimi service (the “Service”). By creating an account or using the Service you agree to these Terms. If you do not agree, do not use the Service.
1. The Service
Naimi lets you create interactive web presentations, proposals and offers, personalize them per client, share them as tracked links, and receive analytics and notifications about how recipients engage with them. We may add, change or remove features over time.
2. Accounts & eligibility
You must be at least 18 years old and able to form a binding contract. You are responsible for the accuracy of your account information, for keeping your credentials secure, and for all activity under your account and the accounts of team members you invite.
3. Acceptable use
You agree not to use the Service to:
- send spam, phishing, deceptive, fraudulent or misleading content;
- upload or distribute unlawful, infringing, harmful or malicious content;
- violate the privacy or intellectual-property rights of others;
- attempt to disrupt, reverse engineer, or gain unauthorized access to the Service; or
- resell or offer the hosted Service as a competing product without our written permission.
We may suspend or terminate accounts that violate these Terms or that create legal or security risk.
4. Your content
You retain all ownership of the templates, presentations, client data and other materials you create or upload (“Customer Content”). You grant us a limited license to host, process and display Customer Content solely to operate and improve the Service for you. You are responsible for having the rights to your Customer Content and for how you use recipients’ data.
5. Our intellectual property
The Service, including its software, design, and the Naimi brand and marks, is owned by Brandy IM Inc. and protected by law. Except for the rights expressly granted here (and any separate self-hosted license), we grant you no rights in our intellectual property.
6. Plans, billing & payment
- Paid subscriptions are billed in advance on a monthly or annual basis through our payment processor, Stripe. By subscribing you authorize recurring charges to your payment method.
- Subscriptions automatically renew at the end of each billing period at the then-current price until cancelled. You can cancel at any time from your account settings.
- We may change our prices, plans and plan features at any time. For an existing paid subscription, a price change takes effect on your next renewal; we will give you reasonable advance notice (for example, by email) before it applies, and you can cancel before the renewal if you do not agree. Continuing after a price change takes effect means you accept the new price.
- Self-hosted editions are one-time purchases licensed under their own license terms, which are delivered with the software.
- Prices are shown exclusive of taxes; you are responsible for any applicable taxes.
- Refunds and cancellations are governed by our Refund & Cancellation Policy.
7. Free plan
We may offer a free tier with limits. We may change the limits of, or discontinue, the free tier at any time. Presentations you have already sent continue to work if you downgrade a paid plan to free.
8. Self-hosted kit & editions
The free presentation kit (templates and agent skills) and paid self-hosted editions are licensed for your company’s own internal use: you may run and modify them, but you may not resell them as a competing service. Paid editions include a defined period of updates; the software itself does not expire. The applicable license file, delivered with the software, controls in case of any conflict with these Terms.
9. Third-party services
The Service integrates with third parties (for example Stripe for payments and messaging providers for notifications). Your use of those services may be subject to their own terms and privacy policies.
10. Disclaimer of warranties
The Service is provided “as is” and “as available”, without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose and non-infringement. We do not warrant that the Service will be uninterrupted or error-free.
11. Limitation of liability
To the maximum extent permitted by law, Brandy IM Inc. will not be liable for any indirect, incidental, special, consequential or punitive damages, or any loss of profits, revenue or data. Our total liability for any claim relating to the Service will not exceed the amount you paid us for the Service in the twelve months before the event giving rise to the claim.
12. Termination
You may stop using the Service and cancel your subscription at any time. We may suspend or terminate your access if you breach these Terms or if required for legal or security reasons. On termination, your right to use the Service ends; sections that by their nature should survive (such as ownership, disclaimers and liability) will survive.
13. Governing law
These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-laws rules. The state and federal courts located in Delaware will have exclusive jurisdiction over any dispute, subject to any mandatory consumer-protection rights you have where you live.
14. Changes to these Terms
We may update these Terms from time to time. We will post the updated version here and update the “Last updated” date; material changes will be communicated through the Service or by email. Continued use after changes take effect constitutes acceptance.
